These Terms and Conditions (“Terms”) govern your use of the Code Carl SMS troubleshooting and compliance messaging service (“Code Carl” or the “Service”), operated by Down South Electric LLC (“Down South Electric,” “we,” “us,” or “our”). By enrolling in or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of Service

Code Carl is an SMS-based diagnostic assistance tool that sends field electricians and technicians employed by subscribing companies troubleshooting guidance, safety alerts, lockout/tagout (LOTO) reminders, and code compliance messages. Messages are generated using a knowledge base developed from field experience and general reference to the National Electrical Code (NEC), and are delivered automatically in response to technician inquiries or on a scheduled basis.

2. Eligibility and Enrollment

The Service is available only to technicians enrolled by an authorized representative of a subscribing electrical contracting company. You must be 18 years of age or older, hold a valid mobile phone number, and be currently employed by or contracted with a subscribing company to use the Service.

3. SMS Messaging Terms

By opting in, you consent to receive automated SMS messages from Down South Electric LLC related to job-site troubleshooting, safety, and code compliance. Message frequency varies. Message and data rates may apply, depending on your mobile carrier and plan.

  • Reply STOP at any time to opt out of further messages.
  • Reply HELP for assistance or support contact information.
  • Carriers are not liable for delayed or undelivered messages.
  • Supported carriers are not responsible for the content of the Service’s messages.

4. No Substitute for Professional Judgment or Code Compliance

Code Carl is a diagnostic support tool, not a substitute for the judgment, licensure, and on-site evaluation of a qualified electrician. All guidance provided through the Service is general in nature and must be independently verified against the applicable edition of the National Electrical Code (NEC), state and local amendments, and the requirements of the Authority Having Jurisdiction (AHJ) before being relied upon.

The Service does not provide, and nothing sent through the Service should be construed as, a permit determination, an official code interpretation, or a substitute for consultation with the local AHJ on matters of permitting, inspection, or code compliance. Technicians and their employers remain solely responsible for verifying compliance with all applicable codes, safety regulations (including OSHA requirements), and manufacturer instructions, and for exercising independent professional judgment on every job site.

5. Safety Disclaimer

Electrical work involves inherent risk of injury or death. Messages sent through the Service, including safety and lockout/tagout (LOTO) reminders, are provided as general guidance only and do not replace proper training, personal protective equipment, established company safety procedures, or the independent judgment of a qualified technician on site. You are solely responsible for your own safety and for following all applicable safety laws, regulations, and your employer’s safety policies.

6. Limitation of Liability

To the fullest extent permitted by law, Down South Electric LLC and its officers, employees, and affiliates shall not be liable for any injury, property damage, loss, or other harm arising from or related to reliance on guidance provided through the Service. The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to accuracy, completeness, or fitness for a particular purpose.

In no event shall Down South Electric LLC’s total liability arising out of or related to the Service exceed the amount, if any, paid by the subscribing company for access to the Service in the twelve (12) months preceding the claim.

7. Acceptable Use

You agree not to use the Service to transmit unlawful, abusive, or fraudulent content, to attempt to disrupt or reverse-engineer the Service, or to use the Service for any purpose other than legitimate job-site troubleshooting and compliance support.

8. Termination

We may suspend or terminate your access to the Service at any time, including upon a subscribing company’s request, non-payment, or misuse of the Service. You may stop use of the Service at any time by replying STOP or notifying your employer.

9. Changes to These Terms

We may update these Terms from time to time. The “Effective Date” at the top of this page reflects the most recent update. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws of the State of South Carolina, without regard to its conflict of law principles.
